1. Acceptance of Terms
By accessing or using the USA2028 platform at usa2028.ai (the "Platform"), including all associated websites, applications, smart contracts, APIs, and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Platform. These Terms constitute a legally binding agreement between you and USA2028 AG, a company incorporated under Swiss law and registered in the Canton of Zug, Switzerland (Commercial Register number pending).
2. Eligibility
You must be at least 18 years of age to use the Platform. By creating an account, you represent and warrant that you meet this age requirement. To deposit funds, place trades, or withdraw funds, you must complete our Know Your Customer ("KYC") verification process through our authorized identity verification partner. Users who are residents of jurisdictions where prediction market participation is prohibited by local law are responsible for ensuring compliance with their own local regulations. USA2028 reserves the right to restrict access from any jurisdiction at its sole discretion. Users on the OFAC, EU, or Swiss SECO sanctions lists are prohibited from using the Platform.
3. Platform Description
USA2028 is a prediction market platform that enables users to trade outcome tokens representing probabilistic forecasts of future events related to American politics, economics, technology, culture, sports, and geopolitics. The Platform uses an Automated Market Maker ("AMM") based on the Logarithmic Market Scoring Rule ("LMSR") to facilitate trading. Markets are deployed as smart contracts on the Base blockchain (Coinbase Layer 2). Outcome tokens are minted as ERC-1155 conditional tokens and settle at $1.00 for winning outcomes and $0.00 for losing outcomes upon market resolution. The Platform also provides AI-powered probability analysis, research content, and data feeds as supplementary services.
4. Account Registration and Security
You may create an account using an email address, a Web3-compatible wallet (via Sign In With Ethereum), or both. You are solely responsible for maintaining the confidentiality of your account credentials, private keys, and wallet seed phrases. USA2028 will never ask for your private keys or seed phrases. You must immediately notify USA2028 of any unauthorized use of your account. USA2028 is not liable for any loss arising from unauthorized access to your account where such access resulted from your failure to safeguard your credentials.
5. Risk Disclosure
Prediction market trading involves substantial risk of loss. By using the Platform, you acknowledge and accept the following risks:
- You may lose the entire value of your positions. Outcome tokens can become worthless if the market resolves against your position.
- Smart contract risk: Although our contracts are audited, no audit eliminates all risk. Blockchain-based systems may contain undiscovered vulnerabilities.
- Market liquidity risk: You may not be able to exit a position at your desired price, particularly in low-liquidity markets.
- Resolution risk: Markets are resolved based on predefined criteria and oracle data. In rare cases, a market may be voided if resolution criteria cannot be definitively met.
- Regulatory risk: Changes in applicable law or regulation may affect the availability of the Platform or specific markets.
- Cryptocurrency volatility: The value of deposited assets (including USDC) may fluctuate relative to fiat currencies.
You should only trade with funds you can afford to lose. The Platform provides self-exclusion tools, deposit limits, and cool-down periods to support responsible trading.
6. $USA28 Token
The $USA28 token is a utility token that provides functional benefits within the USA2028 ecosystem, including reduced trading fees, staking rewards, market creation governance, and access to premium features. The $USA28 token is not a security, equity, debt instrument, or investment contract. Holding $USA28 does not entitle you to any ownership interest, dividend, profit share, or voting rights in USA2028 AG. The token is classified as a payment token under FINMA's token taxonomy as established in their ICO Guidelines (updated February 2018) and the Swiss DLT Act (2021). USA2028 makes no representations regarding the future value of $USA28. The token's price on secondary markets is determined entirely by market forces.
7. Fees and Payments
The Platform charges a 2% fee on every trade (buy or sell) and a 5% fee on settlement of winning positions. Fee schedules may be updated with 30 days' notice to users. $USA28 token holders receive reduced fees as specified in the current fee schedule. Deposits may be made via credit card (processed by Stripe), bank transfer, or direct cryptocurrency transfer (USDC on the Base network). Withdrawals exceeding $10,000 USD equivalent are subject to a 24-hour hold for compliance review. All fees are non-refundable unless otherwise required by applicable law.
8. Market Resolution
Each market has predefined resolution criteria published on its market page. Markets are resolved using a combination of oracle data (UMA Optimistic Oracle, Chainlink), authoritative public sources (e.g., Associated Press for elections, official government data for economic indicators), and administrative review. In the event of a dispute, USA2028 maintains a dispute resolution mechanism where staked participants can challenge a proposed resolution. If a market's resolution criteria cannot be definitively met, USA2028 reserves the right to void the market and return all funds to traders at their original entry prices. All resolution decisions are final once confirmed by the multi-signature administrative process.
9. Prohibited Conduct
You agree not to engage in any of the following:
- Market manipulation, including wash trading, spoofing, or coordinated trading schemes.
- Using the Platform to launder money or finance illegal activities.
- Creating multiple accounts to circumvent position limits or KYC requirements.
- Attempting to exploit smart contract vulnerabilities rather than reporting them through our bug bounty program.
- Using automated systems to gain unfair advantage in trade execution without authorization.
- Trading on material non-public information related to the resolution of a market where you have insider knowledge of the outcome.
USA2028 employs trade surveillance algorithms and on-chain transaction monitoring (via Chainalysis) to detect prohibited conduct. Violations may result in account suspension, forfeiture of positions, and reporting to relevant authorities.
10. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, data compilations, AI-generated research and analysis, software, and smart contract code, is the property of USA2028 AG or its licensors and is protected by Swiss and international intellectual property laws. The USA2028 name, logo, and the $USA28 token symbol are trademarks of USA2028 AG. You may not reproduce, distribute, modify, or create derivative works from Platform content without prior written consent, except as expressly permitted through our API licensing program or as allowed under applicable fair use provisions.
11. Limitation of Liability
To the maximum extent permitted by Swiss law, USA2028 AG, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill, arising from your use of the Platform. USA2028's total aggregate liability for any claims arising under these Terms shall not exceed the total amount of fees paid by you to USA2028 in the twelve (12) months preceding the claim. This limitation of liability applies to all causes of action, whether in contract, tort (including negligence), strict liability, or otherwise. Nothing in these Terms excludes liability for fraud, willful misconduct, or gross negligence under Swiss law.
12. Dispute Resolution and Governing Law
These Terms are governed by and construed in accordance with the substantive laws of Switzerland, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be resolved by arbitration in accordance with the Swiss Rules of International Arbitration of the Swiss Arbitration Centre. The seat of arbitration shall be Zurich, Switzerland. The arbitration shall be conducted in English. The arbitral award shall be final and binding. Before initiating arbitration, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of not less than 30 days.
13. Modification of Terms
USA2028 reserves the right to modify these Terms at any time. Material changes will be communicated to registered users via email and/or a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform and close your account. Any open positions at the time of account closure will be handled according to the withdrawal procedures in effect at that time.
14. Severability
If any provision of these Terms is found by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
